IN THE MATTER of a special partnership known as NEW
ZEALAND WOOLLEN RUGS LIMITED and COMPANY:

WE, the persons named and described in the Schedule hereto
and New Zealand Woollen Rugs Limited, a duly incorporated
company having its registered office at Auckland, being a
special partnership known as New Zealand Woollen Rugs
Limited and Company and duly registered in the High Court
at Auckland, do hereby certify that by registration of the
certificate we do hereby dissolve the special partnership under
the provisions of Part II of the Partnership Act 1908, and do
hereby further certify pursuant to the provisions of section 62
of the said Act as follows:

(a) The style of the firm under which the partnership has
been conducted is New Zealand Woollen Rugs Limited and
Company.

(b) The names and places of residence of all the partners
are as follows:

General Partner:

New Zealand Woollen Rugs Limited, a duly incorporated
company having its registered office at 14 Maich Road, Manu-
rewa.

Special Partners:

The persons whose names and addresses are set forth in
the Schedule hereto.

(c) The aforesaid special partners had contributed to the
common stock of the partnership the sums listed against their
respective names in the Schedule hereto. The general partner
has not contributed to the common stock of the partnership.

(d) The general nature of the business which was trans-
acted by the partnership is that of rug manufacturer and to
carry on all or any of the businesses of manufacturers of,
buyers and sellers of, importers and exporters of, wholesale
and retailers in, repairers, cleaners, designers, storers, and
warehouses of carpets, rugs, floor coverings, and furnishings of
all kinds and such other business as may from time to time
seem to the partners as convenient or conducive to the
attainment of the objects of the partnership.

(e) The principal place at which the business has been trans-
acted is at the registered office of the general partner at
14 Maich Road, Manurewa.
