It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

1. The name of the partnership is Systematic Distribution Limited and Company.

2. The names address occupations and capital contributions of the general and special partners are set out in the Schedule hereto.

3. Partnership Business—To develop new export markets and export goods thereto and to purchase or otherwise acquire patent and design rights for the manufacture and distribution of electronic signs, message centres, associated communication systems and equipment, and to design, invent, manufacture, sell, export, distribute, and otherwise deal in such products, and generally to carry on in New Zealand and in any part of the world all or any of the businesses of importers, exporters, export merchants, wholesalers, retailers, and merchants trading in all classes of goods, wares, and commodities of any description whatsoever.

4. Principal Place of Business—The registered office of the general partner is at the offices of Messrs Mitchell and Covacich, Chartered Accountants, 31 Airedale Street, Auckland.

5. Duration of the Partnership—The partnership shall commence upon registration of this certificate in accordance with section 54 of the Partnership Act 1908, and shall terminate upon registration of a certificate pursuant to section 62 of the said Act or upon the expiration of 7 years from the date of registration of this certificate whichever is the sooner.
