OF IAN STEPHENS LIMITED:

NOTICE is hereby given that a petition for the following orders:

(1) That the company be ordered to institute and prose-
cute Court proceedings against the said IAN JAMES STEPHENS
to recover from him all moneys spent by the company and
all costs incurred by it in carrying out improvements to the
said premises insofar as the said IAN JAMES STEPHENS has
not reimbursed the company therefore and to recover all
personal benefits the said IAN JAMES STEPHENS has received
from the company insofar as he has not reimbursed the
company in respect of such benefits. In the alternative
your petitioner seeks and order authorising him to institute
and prosecute the said Court proceedings in the name and on
behalf of the company.

(2) That the company be ordered to institute and prose-
cute proceedings against the said IAN JAMES STEPHENS to
obtain an order declaring their respective rights and interests
in the land upon which the said premises have been erected.
In the alternative your petitioner seeks an order directing
him to institute and prosecute the said Court proceedings
in the name and on behalf of the company.

(3) That the said IAN JAMES STEPHENS be ordered to sell his
shares in the company to your petitioner upon such terms
and conditions as to this honourable Court seems just. In
the alternative your petitioner seeks and order directing
the said IAN JAMES STEPHENS to purchase the shares of your
petitioner in the company upon such terms and conditions
as to this honourable Court seems just.

(4) That the said IAN JAMES STEPHENS be ordered to
account to the company for all personal benefits which he
has received therefrom between April 1971, and the date of
this honourable Court’s judgment.

(5) That IAN JAMES STEPHENS may be wound up by the
Court under the provisions of the Companies Act 1955.

(6) That the said IAN JAMES STEPHENS be ordered to pay
the petitioner’s costs and incidental to this petition.

(7) That such further or other orders may be made in the
premises as shall be just.

hithe, plumber; and that the said petition is directed to be
heard before the Court sitting at Auckland on the 30th day

support or oppose the making of an order on the said
petition may appear at the time of hearing in person or by
his counsel for that purpose; and a copy of the petition
will be furnished to the undersigned to any creditor or con-
tributory of the said company requiring a copy on payment
of the regulated charge for the same.
