That the sum of $4,453,601.00 standing to the credit of the share premium account in the books of the company as at 30 June 1979 may be distributed in cash to the holders from time to time of the ordinary shares in the capital of the company.

That the distribution of the said sum be effected at such times and at such intervals and by a series of payments of such amounts (as the directors of the company may from time to time determine) but that prior to making such distribution the directors shall transfer from the profits of the company to the fund designated “Capital Replacement Fund” an amount equal to the amount to be distributed, such fund not to be available for the payment of dividends nor without the approval of this Court for distribution to shareholders but may be applied in paying up unissued shares of the company as fully paid bonus shares.

That a minute relating to the distribution of the share premium account shall be produced to the Registrar of Companies pursuant to section 78 (1) of the Companies Act 1955 for registration pursuant to section 78 (2).

That notice of registration of this order be published once in the New Zealand Gazette.

NOTICE is hereby given that the undersigned, the liquidator of Redevloped Auto Parts Limited (in statutory receivership and liquidation), which is being wound up by order of the Court dated 9 August 1978, does hereby fix the 8th day of August 1980 as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.
