NOTICE OF REDUCTION OF SHARE PREMIUM RESERVE ACCOUNT
NOTICE is hereby given that on Wednesday, the 19th of November 1980, the following order was made by the High Court at Wellington:
That the reduction of the share premium reserve account of the company, resolved in the special resolution of the company passed on the 23rd August 1980, be confirmed and accordingly:
(a) That the sum of $29,518 being the amount standing to the credit of the share premium reserve account in the books of account of the company as at 19 June 1980, may be reduced by paying out as dividends to the shareholders of the company the balance of $29,518 standing to the credit of the share premium reserve account.
(b) That the dividend amounts and the dates payable are to be decided by the directors.
(c) That prior to making each such distribution the directors shall transfer from the revenue reserves of the company to a fund to be designated “Capital Replacement Fund”, an amount equal to the amount to be distributed, such fund not to be available for the payment of dividends nor without the approval of the High Court of New Zealand for distribution to shareholders, but may be applied in paying up as fully paid bonus shares any shares that the company may issue as unpaid shares of the company.
(d) That the provisions of paragraph (c) hereof shall not be varied without the prior approval of this honourable Court.
