Following the sanction of a scheme of arrangement, on the 28th day of September 1979, whereby each of the existing 57,390 fully paid ‘A’ preference shares of $1 each and each of the 320,000 fully paid ‘B’ preference shares of $1 each were cancelled and in exchange therefor 166,260 ordinary shares of $1 each credited as fully paid up were issued with a consequent reduction of share capital of $211,130 the capital of Cable Price Downer Ltd. is as follows:

Authorised Capital: $29,788,870.

Issued and Paid Up Capital: $17,553,164 divided into 3,478,000 convertible preference shares of $1 each and 14,075,164 ordinary shares of $1 each.
