IN THE MATTER OF the Part II of the Partnership Act 1908, and IN THE MATTER of a special partnership known as RUAPEHU MOUNTAIN EQUIPMENT LIMITED:

WE, the persons named and described in the Schedule hereto, and RUAPEHU MOUNTAIN EQUIPMENT LIMITED, a duly incorporated company having its registered office at Auckland, do hereby form and constitute a special partnership under the provisions of Part II of the Partnership Act 1908, and do hereby further certify pursuant to the provisions of section 51 of the said Act as follows:

(a) The style of the firm under which the partnership is to be conducted is Ruapehu Mountain Equipment Limited;

(b) The names and places of residence of all the partners are as follows:

General Partner: Ruapehu Mountain Equipment Limited, a duly incorporated company having its registered office at Parnell House, 470 Parnell Road, Auckland;

Special Partners: The persons whose names and addresses are set forth in the Schedule hereto;

(c) The aforesaid special partners have contributed to the common stock of the partnership the sums listed against their respective names in the Schedule hereto. The general partner has not contributed to the common stock of the partnership;

(d) The general nature of the business to be transacted by the partnership is that of an export merchant and to:

(i) To commence, promote, acquire, establish, undertake or organise, develop, and to carry on all or any of the businesses of manufacturers, exporters, importers, vendors, warehousemen, retailers, sellers, and promoters of all or any form of plant, equipment, installation, tools, implements, appliances, and things used or capable of being used for the rescue, assistance, support, or enjoyment of persons engaged in any form of physical activity, or who require help or assistance or sustenance in any manner or form;

(ii) To promote, form, establish, and manage a special partnership to be formed under Part II, Partnership Act 1908, under the name or style of Ruapehu Mountain Equipment Limited & Company to carry on business as an export merchant or house in all branches of such business;

(iii) To commence acquire by purchase or otherwise and to carry on all or any of the businesses of exporters, importers, manufacturers, vendors, purchasers, lessors, retailers, warehousemen, and agents for all or any goods produced, articles, materials, or products of all or any description;

and such other business as may from time to time seem to the partners as convenient or conducive to the attainment of the objects of the partnership;

(e) The principal place at which the business is to be transacted is at the offices of the general partner, Ruapehu Mountain Equipment Limited, Parnell House, 470 Parnell Road, Auckland;

(f) The partnership is to commence on the date of registration of this certificate and is to terminate four years thereafter.

NOTICE is hereby given that a petition for the winding up of the above-named company by the Supreme Court was, on the 18th day of September 1979, presented to the said Court by MCNAIR SURVEYS (N.Z.) LIMITED, a duly incorporated company having its registered office at Auckland; and that the said petition is directed to be heard before the Court sitting at Auckland on the 31st day of October 1979, at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of the hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.
