IN the matter of WILSONS (N.Z.) PORTLAND CEMENT LTD., a duly incorporated company having its registered office at Auckland, and in the matter of sections 75 to 80 of the Companies Act 1955:

NOTICE is hereby given that on the 4th day of September 1979 the order of the Supreme Court of New Zealand set out below was filed at the Companies Office in Auckland for registration and was registered accordingly by the District Registrar of Companies, Auckland.

Upon reading the Ex Parte Notice of Motion for an order confirming a reduction of capital of the above-named company, the affidavit of Norman Ralph Paterson filed in support thereof, the exhibits respectively referred to and the order of this Court dated the 24th day of August 1979 giving directions, this Court hereby orders:

(a) That the sum of $600,000 standing to the credit of the share premium reserve account in the books of account of the company as at 31st December 1978, may be distributed to the holders from time to time of the ordinary shares in the capital of the company.

(b) That the distribution of the amount mentioned above may be effected at such intervals and by a series of payments of such amounts as the directors may from time to time determine to the holders from time to time of the ordinary shares in the capital of the company divided rateably, in proportion to the amounts paid up on the ordinary shares held by them.
