IN THE MATTER OF Part II of the Partnership Act 1908, and
IN THE MATTER of a special partnership known as NEW
ZEALAND WOOLLEN RUGS LIMITED & COMPANY:
WE, the persons named and described in the Schedule hereto
and NEW ZEALAND WOOLLEN RUGS LIMITED, a duly incor-
pored company having its registered office at Auckland,
do hereby certify that by registration of this certificate we do
hereby form and constitute a special partnership under the
provisions of Part II of the Partnership Act 1908, and do
hereby further certify pursuant to the provisions of section 51
of the said Act as follows:
(a) The style of the firm under which the partnership is to
be conducted is New Zealand Woollen Rugs Limited
& Company.
(b) The names and places of residence of all the partners
are as follows:
General Partner: New Zealand Woollen Rugs
Limited, a duly incorporated company having its
registered office at Auckland.
Special Partners: The persons whose names and
addresses are set forth in the Schedule hereto.
(c) The aforesaid special partners have contributed to the
common stock of the partnership the sums listed
against their respective names in the Schedule hereto.
The general partner has not contributed to the com-
mon stock of the partnership.
(d) The general nature of the business to be transacted by
the partnership is that of a rug manufacturer and
(i) To carry on all or any of the businesses of
manufacturers of, buyers or sellers of, importers and
exporters of, wholesale and retail dealers in, repairers,
cleaners, designers, storers, and warehouseers of
carpets, rugs, floor coverings, and furnishings of all
kinds.
(ii) To carry on the business of manufacturers,
buyers, sellers, importers, exporters, wholesale and
retail dealers, warehouseers of cotton, woollen, silk
and yarns, and all kinds of leathers, rubbers and water-
proof goods, and articles manufactured therefrom
including drapes, footwear, floor cloths and table
cloths, clothing, and wall plaques and in the course
of such businesses to act for such persons as agent,
mercantile agent, factor, broker, and commercial
representative in all their various branches.
and such other business as may from time to time
seem to the partners as convenient or conducive to
the attainment of the objects of the partnership.
(e) The principal place at which the business is to be
transacted is at the registered office of the general
partner, at 14 Maich Road, Manurewa.
(f) The partnership is to commence on the date of regis-
tration of this certificate and is to terminate 4 years
thereafter.

incorporated company having its registered office at 228

NOTICE is hereby given that a petition for the winding up
of the above-named company by the Supreme Court was, on
the 26th day of June 1979, presented to the said Court by
GRETNA SECURITIES LIMITED (in receiver ship), a duly incor-
porated company having its registered office at the offices of
Messrs Smith, Chilcott and Co., Chartered Accountants, 129
Albert Street, Auckland 1, and carrying on business there and
elsewhere as property owners and developers; and that the
said petition is directed to be heard before the Court sitting
at Auckland on Wednesday, the 25th day of July 1979, at
10 o’clock in the forenoon; and any creditor or contributory
of the said company desirous to support or oppose the
making of an order on the said petition may appear at the

lenders; and the said petition is directed to be heard before
the Court sitting at Auckland, on the 1st day of August 1979,
at 10 o’clock in the forenoon; and any creditor or contributory
of the said company who desires to support or oppose the
making of an order on the said petition may appear at the
time of hearing in person or by his counsel for that purpose;
