NOTICE OF RESOLUTION FOR VOLUNTARY WINDING UP

IN the matter of the Companies Act 1955, and in the matter of McILWRAITH ELECTRICAL (SUMNER) LTD. (in voluntary liquidation):

NOTICE is hereby given that by duly signed entry in the minute book of the above-named company, on the 12th day of March 1979, the following extraordinary resolution was passed by the company, namely:

That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily.

NOTICE OF CALLING FINAL MEETING

IN the matter of the Companies Act 1955, and in the matter of WESTSIDE INVESTMENTS LTD. (in liquidation):

NOTICE is hereby given in pursuance of section 281 of the Companies Act 1955, that a general meeting of the above-named company will be held in the offices of A. and J. Grierson Goodare, Gibson and Co., Chartered Accountants, 117 Vincent Street, Auckland, on the 18th day of April 1979, at 9 o’clock in the morning for the purpose of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof by the liquidator.

Further Business:

To consider and if thought fit pass the following resolution as an extraordinary resolution, namely:

That the books of the company be destroyed under section 328 (b) of the Companies Act 1955.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.

NOTICE OF MEETING OF CREDITORS WHERE WINDING UP RESOLUTION PASSED BY ENTRY IN MINUTE BOOK (UNDER SECTION 362)

IN the matter of the Companies Act 1955, and in the matter of CITY MARINE (1976) LTD.:

NOTICE is hereby given that by an entry in its minute book, signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 21st day of March 1979, passed a resolution for voluntary winding up and that D. J. Underwood and J. A. Cranefield, of Martin, Jarvie, Underwood and Hall, chartered accountants, be appointed joint liquidators of the company and that a meeting of the creditors of the above-named company will accordingly be held at the Wakefield Room, N.Z. Founders Society, Wakefield House, 90 The Terrace, Wellington, on Friday the 30th day of March 1979, at 2 p.m.

Business:

Consideration of a statement of the position of the company’s affairs and list of creditors etc.

Nomination of liquidator.

Appointment of committee of inspection if thought fit.

IN THE matter of the Companies Act 1955, and IN THE MATTER OF YUGOSLAV DOM COMPANY LIMITED, a company duly incorporated in New Zealand, having its registered office in the City of Auckland:

NOTICE is hereby given that the order of the Supreme Court of New Zealand, dated the 27th day of February 1979, confirming the reduction in capital of the above-named company from $50,000.00 to $14,520.00 and the minute approved by the Court showing, with respect to the capital of the company as altered the several particulars required by the above-mentioned Act, was registered by the Registrar of Companies on the 14th day of March 1979. The said minute is in the words and figures following:

The capital of YUGOSLAV DOM COMPANY LIMITED is fourteen thousand five hundred and twenty dollars ($14,520.00) divided into four hundred and eighty-four (484) ordinary shares of thirty dollars ($30.00) each having been reduced from fifty thousand dollars ($50,000.00) divided into five hundred (500) ordinary shares of one hundred dollars ($100.00) each of which four hundred and eighty-four (484) shares were fully paid.

NOTICE is hereby given that a petition for the winding up of the above-named company by the Supreme Court was, on the 20th day of February 1979, presented to the said Court by H. T. MERRITT LIMITED, a duly incorporated company having its registered office at Auckland; and that the said petition is directed to be heard before the Court sitting at Auckland on the 2nd day of May 1979, at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.
