At the annual general meeting of the above-named company duly convened and held at Piopio at 8 p.m. on the 8th day of November 1979, the following special resolution was duly passed, viz:
That the company be wound up voluntarily and that Peter Robertson, of Andrews, Loft, Turner, and Partners, be appointed liquidator for the purposes of such winding up and that remuneration of the liquidator be fixed at the scale recommended by the New Zealand Society of Accountants together with reimbursement of all costs and disbursements incurred.

WE, the parties named and described hereunder do hereby certify that by registration of this certificate we do hereby form and constitute a special partnership under the provisions of part II of the Partnership Act 1908; and do hereby further certify, pursuant to the provisions of section 51 of the said Act as follows:
(a) The style of the firm under which the partnership is to be conducted is Dominion Exporters Limited & Company.
(b) The names and places of residence of all the partners are as follows:
General Partner:
Dominion Exporters Limited, a duly incorporated company having its registered office at 426 Lake Road, Takapuna, Auckland 9.
Special Partners:
William Stephen Heffernan of 277 Glenfield Road, Auckland 10, company manager, and Vincent John William Heffernan of 277 Glenfield Road, Auckland 10, engineer.
(c) The amount of capital being contributed to the common stock of the partnership by the partners is as follows:
General Partner:
Dominion Exporters Limited — — $1,000.00
Special Partners:
William Stephen Heffernan — — $10,000.00
Vincent John William Heffernan — — $9,000.00

(d) The general nature of the business to be transacted by the partnership is that of manufacturers and export merchants; and to
(i) Promote and aid the development of exports from New Zealand to other countries;
(ii) Buy, sell, import, export, and deal in raw materials and manufactured goods of all classes and types.
And such other business as may from time to time seem to the partners as convenient or conducive to the attainment of the objects of the partnership.
(e) The principal place at which the business is to be transacted is at the factory premises situate at 149 Wairau Road, Takapuna, Auckland.
(f) The partnership is to commence on the 12th day of November 1979 and is to terminate on the 31st day of March 1982.
