IN the matter of the Companies Act 1955, and in the matter of PIERPONT PROPERTIES LTD. (in liquidation):

NOTICE is hereby given, in pursuance of section 281 of the Companies Act 1955, that a general meeting of the above-named company will be held at the offices of Messrs Hutchinson Hull & Co., Chartered Accountants, Eleventh Floor, Downtown House, 21-29 Queen Street, Auckland, on the 16th day of October 1978, at 10 o'clock in the forenoon, for the purpose of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof by the liquidator.

NOTICE BY ADVERTISEMENT OF SPECIAL RESOLUTION FOR VOLUNTARY WINDING UP

IN the matter of the Companies Act 1955, and in the matter of WAIMANA DAIRY CO. LTD. (in voluntary liquidation, members’ winding up):

A declaration of solvency having been filed, at an extraordinary general meeting of the above-named company duly convened and held at Waimana, on the 18th day of September 1978, the following special resolutions were passed:

(1) That the company be wound up voluntarily as a members’ winding up.

(2) That John Haldane Campbell, Chartered Accountant, of 12 Jubilee Crescent, Whakatane, be appointed liquidator and that he be empowered to transfer all of the assets of the company to the Opotiki Dairy Association Ltd. in exchange for fully paid ordinary shares in the transferee company to equate the paid up shareholding of the transferor company, and thereafter to wind up the transferor company.
