JUSTICE BARKER hereby orders that the reduction of paid up capital resolved in the special resolution passed on the 20th day of October 1976 be confirmed, and that the minute showing the amount of the capital of the company as follows be approved:
The capital of Roystyles Limited is two thousand dollars ($2,000) divided into 1,000 fully paid ordinary shares of two dollars ($2.00) each, having been reduced from fifty-eight thousand dollars ($58,000) divided into 29,000 ordinary shares of two dollars ($2) each fully paid.
And further orders that notice of the registration of the order and the said minute be published once in the New Zealand Gazette, and further orders that there are no circumstances requiring the use of the words “and reduced” on requiring the publication of the reasons for reduction or other information in relation thereto.

We whose names and places of residence are set out hereunder and being all the persons who have joined as partners in a special partnership styled APEX MACHINERY LIMITED AND COMPANY, do hereby certify pursuant to section 51 of the Partnership Act 1908, as follows:
(a) That the partnership style under which the partnership is to be conducted is APEX MACHINERY LIMITED AND COMPANY.
(b) That the sole general partner is APEX MACHINERY LIMITED, a duly incorporated company having its registered office at 28 Ponsonby Road, Auckland 1, and that the special partners are
Bruce Archibald Robertson, of 213 Eskdale Road, Birkenhead, saw doctor.
Robert Hamilton Sinclair, of 4 Malabar Drive, Ellerslie, Auckland, saw doctor.
Graeme Hamilton Sinclair, of 4 Malabar Drive, Ellerslie, Auckland, company manager.
William Sydney Briton, of 30 Neptunc Avenue, Birkenhead, sales manager.
(c) The amount of capital contributed by the said general partner is $20 and the amount of capital contributed to the common stock by each of the said special partners is $495.
(d) The general nature of the business to be transacted by the partnership is the export from New Zealand of merchandise and commodities of all kinds and in particular (but without limiting the general scope of the foregoing) to export machinery, tools, motors, spare parts, plant, and products of all industries concerned with the utilisation or application of heat, light, and energy of all kinds.
(e) The principal place at which the business of the partnership is to be transacted is 28 Ponsonby Road, Auckland 1.
(f) The partnership is to commence on the 14th day of September 1978 and is to terminate on the 13th day of September 1983.

The common seal of APEX MACHINERY LIMITED was hereunto affixed in the presence of Bruce Archibald Robertson and Robert Hamilton Sinclair, directors, and in the presence of D. E. Wiles, J.P., pharmacist, Auckland.
