Special resolution of members of Ship Brokers and Agencies Ltd. passed by way of entry in the minute book of the company on 31st August 1978.
That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily.

In the matter of the Companies Act 1955, and in the matter of OLIVER ENGINEERING LIMITED, a duly incorporated company having its registered office at 117 Vincent Street, Auckland 1, and carrying on business as general engineers and repairers:
Notice is hereby given that a petition for the winding up of the above-named company by the Supreme Court was, on the 12th day of May 1978, presented to the said Court by Messrs Grierson, Goodard, Gibson & Co., of Auckland, Chartered Accountants, MOTOR TRADERS (NZ) LIMITED, a duly incorporated company having its registered office at Auckland, motor vehicle dealer, and Gough, Gough & Hamer Limited, a duly incorporated company having its registered office at Christchurch, merchants, who jointly comprise (the two last-mentioned by their nominees) a committee of three under an arrangement binding on the creditors and members of OLIVER ENGINEERING LIMITED sanctioned by the Supreme Court, on the 20th day of November 1970, and registered in the Companies Office, on the 23rd day of November 1970, all pursuant to section 205 of the Companies Act 1955; and that the said petition is directed to be heard before the Court sitting at Auckland on the 20th day of September 1978, at 10 o'clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.
