OF BROADAXE HOLDINGS (N.Z.) LIMITED:

NOTICE is hereby given that a petition for the winding up of
the above-named company by the Supreme Court was, on the
21st day of August 1978, presented to the Court by LAY KIRK &
PARTNERS, carrying on business as a partnership at 13 Com-
merce Street, Auckland, Chartered Accountants; and the said
petition is directed to be heard before the Court sitting at
Rotorua on the 15th September 1978, at 10 o'clock in the
forenoon; and any creditor or contributory of the said com-
pany desirous to support or oppose the making of an order on
the said petition may appear at the time of the hearing in
person or by his counsel for the purposes; and a copy of the
petition will be furnished by the undersigned to any creditor
or contributory of the said company requiring a copy on
payment of the regulated charge for the same.

IN THE MATTER of an application under section 76 of the
Companies Act 1955, and IN THE MATTER of ANDREWS
AND BEAVEN LIMITED, a duly incorporated company having
its registered office at Christchurch, such company being
registered as a public company under the Companies Act
1933:

IN CHAMBERS FRIDAY THE ELEVENTH DAY OF AUGUST 1978
Upon reading the ex parte motion, dated 7th day of August
1978, for confirmation of the distribution of the following
amounts from certain accounts of the company, namely of:
(i) The sum of $1,351,981.21 from the Share Premium
Account
(ii) The sum of $184,500.00 from the Preference Share
Redemption Account
and the affidavit of ALAN WALTER FINCH filed herein, THE
HONOURABLE MR JUSTICE SOMERS hereby orders:

  1. That the distributions from the Share Premium Account
    and Preference Share Redemption Account referred to in the
    resolution following resolution 10, and passed by the share-
    holders of the applicant company at an Extraordinary General
    Meeting held on the 26th day of July 1978, be confirmed
    on the following terms and conditions:
    Paragraph (c) of such resolution and Article 127B may
    not be varied so long as any part of the funds to which the
    resolution relates are undistributed.
    (b) So long as any part of the sum of the following sums,
    namely:
    $1,351,981.21 standing to the credit of the Share Pre-
    mium Account.
    $184,500.00 standing to the credit of the Preference
    Share Redemption Account
    now in the said accounts is undistributed the accounts of the
    company shall be noted so as to show:
    (i) The existence of the resolution of 26 July 1978, and
    (ii) What part of the said sums remains undistributed
    but still subject to the resolution.
  2. That it shall not be necessary for any minute relating
    to the distribution of the Share Premium Account and Pre-
    ference Share Redemption Account as above confirmed to be
