Notice by Examiner of Commercial Practices of Consent to Merger and Takeover Proposal

PURSUANT to section 69 of the Commerce Act, the Examiner of Commercial Practices hereby gives notice of the following merger and takeover proposal to which he has consented.

Person by or on behalf of whom notice was given in terms of section 68 (1) of the Commerce Act 1975

Fletcher Holdings Ltd. .. .. ..

Proposal

(a) To acquire an additional shareholding in Tasman Pulp and Paper Co. Ltd. through the acquisition of that proportion of Australian Newsprint Mills Ltd.’s shareholding to which Fletcher Holdings Ltd. is entitled on the basis of its present holding of ordinary shares in Tasman Pulp and Paper Co. Ltd.

(b) To take up that proportion of the two proposed rights issues in Tasman Pulp and Paper Co. Ltd. corresponding to its approved shareholding at the time of issue.
