IN THE MATTER of section 36 (7) of the Companies Act 1955, and IN THE MATTER of JACK'S GARAGE (KAWAKA) LIMITED:

FRIDAY, THE 18TH DAY OF NOVEMBER 1977

BEFORE THE HONOURABLE MR JUSTICE WHITE

Upon reading the amended notice of motion of the applicant, dated the 6th day of September 1977, and the affidavits of TREVOR ALDER JACK and JOYCE BERYL SCRUBY filed herein, and upon hearing Miss A. M. Lyne, counsel on behalf of the applicant, and Mr B. L. Bridger on behalf of the Crown consenting hereto, this Court hereby orders that the name of JACK'S GARAGE (KAWAKA) LIMITED be restored to the Register of Companies at Auckland and all other persons be placed in the same position as nearly as may be, as if the name of the company had not been struck off the Register and hereby further orders that the Registrar of Companies advertise such order of restoration in the New Zealand Gazette, and hereby further orders that the costs of the Registrar of Companies be fixed at sixty dollars ($60.00) and be paid out of the assets of the said company and it is hereby further ordered that the aforesaid orders lie in Court until the Registrar is advised in writing by counsel for the Registrar of Companies that the following conditions of order for restoration have been complied with:

  1. That annual returns for the years 1970 to 1976 inclusive be filed, and payment made of $175 for late filing fee and $10 for filing fee on the annual return for 1976.
  2. That annual licence fees of $36 be paid for the years 1970 to 1975 inclusive.
  3. That particulars of directors and secretaries be filed to record the resignation of the original secretary, and payment made of $25 for late filing fee.

Upon reading the notice of motion of the applicant dated the 5th day of October 1977, and the affidavits of ROY ANDREW SLATER, and DALLIS ELAINE SLATER, and KENNETH ROYDEN HUBAND, filed herein; and upon hearing Mr A. B. Lawson of counsel for the applicant, and Mr B. L. Bridger of counsel for the Crown, and Mr R. Heath of counsel for Mr and Mrs R. L. F. Jansen, this Court hereby orders by consent that R. A. & D. E. SLATER LIMITED, a company registered in the office of the Registrar of Companies at Auckland on the 20th day of October 1972, under No. A. 1972/2305 be and the same is hereby restored to the Register of Companies, and this Court hereby further orders that this order lie in Court until the Registrar of the Court receives advice from counsel for the Crown that the following conditions of restoration have been complied with viz:
(a) Annual returns for 1975 and 1976 filed and late filing fees of $25 on each are paid;
(b) Annual return fee of $10 for 1976 is paid;
(c) Payment made to the Registrar of Companies of costs of and incidental to this order of $100;

And this Court hereby further orders that notice of restoration of the said company to the Register be published in the Gazette by the Registrar of Companies.

NOTICE is hereby given that a petition for the winding up of the above-named company by the Supreme Court was on the 16th day of March 1978 presented to the said Court by the COMMISSIONER OF INLAND REVENUE and that the said petition is directed to be heard before the Court sitting at Auckland on Wednesday, the 19th day of April 1978, at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.
