NOTICE OF RESOLUTION FOR MEMBERS VOLUNTARY WINDING UP

In the matter of the Companies Act 1955, and in the matter of SPORTS AND MACHINERY (N.Z.) LTD.:

Notice is hereby given that by duly signed entry in the minute book of the company, in accordance with section 362 (1) of the Companies Act 1955, on the 19th day of August 1977, the following special resolutions were passed by the company, namely:

1. That the company is solvent and the director, John Wrayford Hooper, is authorised to make the necessary declaration of solvency, in accordance with section 274 of the Companies Act 1955.

2. That the purpose for which the company was formed has come to an end.

3. That the company be wound up voluntarily and that Mr John Robert Buchanan, of Takapuna, bc, and is hereby, appointed liquidator.
