NOTICE CALLING FINAL MEETING

IN the matter of the Companies Act 1955, and in the matter of AUTOMATIC SALES LTD.:

NOTICE is hereby given, in pursuance of section 281 of the Companies Act 1955, that a general meeting of the above-named company will be held at the registered office of the company, Fifth Floor, Dilworth Building, Customs Street, Auckland 1, on Monday, the 1st day of August 1977, at 10 o’clock in the forenoon, for the purpose of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof by the liquidator, and to consider and, if thought fit, to pass the following resolution as an extraordinary resolution, that is to say:

The books and papers of the company and of the liquidator shall be retained in the custody of the liquidator for a period of five years from the date of dissolution of the company.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.

Notice is hereby given that, by a duly signed entry in the minute book of the above-named company, on the 29th day of June 1977, the following special resolution was passed by the company, namely:

That the company be wound up voluntarily and that Roger John Christmas, of Wellington, chartered accountant, be, and is hereby, appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets thereof.

IN the matter of the Companies Act 1955, and in the matter of NEW ZEALAND FREIGHTERS (DUNEDIN) LTD.:

Notice is hereby given that the following special resolutions were duly passed on the 22nd day of June 1977 by means of an entry in the minute book of the company, pursuant to the provisions of section 362 of the Companies Act 1955:

  1. That the company be wound up voluntarily.
  2. That George Duncan Green, of Auckland, be, and is hereby, appointed liquidator for the purposes of winding up the affairs of the company and distributing the assets.

The company is solvent and is being liquidated for reasons of administrative convenience, and the liquidation will in no way affect the freight-forwarding business of New Zealand Freighters.
