NOTICE OF SPECIAL RESOLUTION FOR VOLUNTARY WINDING UP

In the matter of the Companies Act 1955, and in the matter of RESOURCES AND FACILITIES CORPORATION (AUSTRALASIA) LTD.:

Notice is hereby given that the following resolutions were passed by means of a memorandum, signed for the purpose of becoming an entry in the minute book of the company as provided by subsections (1) and (4) of section 362 of the Companies Act 1955, on the 19th day of April 1977.

1. That the company be wound up voluntarily.

2. That David McGregor, of Auckland, solicitor, be, and he is hereby, appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets.
