Amendments to the Rules of the Auckland Stock Exchange

PURSUANT to section 11 of the Sharebrokers Act 1908, the Governor-General in Council, on 12 September 1977, approved the following amendments to the Rules of the Auckland Stock Exchange.

AMENDMENTS TO RULES

Interpretation

That part of the Rules before Rule 1 is amended by deleting the words:

‘“Non-member Partner” is a person whose partnership with one or more members has been approved by the Exchange and “approved partner” has the same meaning.’

and substituting in place thereof the words:

‘“Associate Member” means a non-member whose partnership with one or more Members has been approved by the Exchange and who has no voting rights.’

Rule 32

Rule 32 is deleted and the following rule substituted in place thereof

“32. At any general meeting every Member shall have one vote and all questions shall be decided by a majority of the Members present and voting except in cases otherwise provided for in these rules, but notwithstanding the provisions of this or any other rule, and with the exception of voting for the election of a candidate for Membership of the Exchange or of voting upon any resolution related to the disposal or acquisition of assets by the Exchange, where Members are carrying on business in partnership, while the total number of Members shall be not less than thirty, no more than four partners of any one partnership shall vote at any one general meeting and if at any such meeting more than four partners of any one partnership are present and vote then the votes accepted shall be those of the four senior members of that partnership according to their respective election to the exchange who have voted but while the total number of Members shall be less than thirty the number of partners entitled to vote according to this Rule shall be three. Voting by proxy shall not be permitted.”

Rule 39

Rule 39 is amended by deleting the words

“a non-member partner”

and substituting in place thereof the words

“an Associate Member”.

Rule 40

Rule 40 is amended by deleting the words

“approved partners”

and substituting in place thereof the words

“Associate Members”.

Rule 40 is further amended by deleting the words

“approved partner”

in each place where they occur and substituting in each such place thereof the words

“Associate Member”.

Rule 42

Rule 42 is amended by deleting the words

“approved partner’s”

and substituting in place thereof the words

Rule 51 is amended by deleting the words

in each place where they occur and substituting in each such place thereof the words
