IN THE MATTER of the Companies Act 1955, and IN THE MATTER of HARDLEYS HOLDINGS LIMITED, a duly incorporated company having its registered office at Auckland and carrying on business as merchants:
FRIDAY THE 27TH DAY OF AUGUST 1976
BEFORE THE HONOURABLE MR JUSTICE MOLLER
UPON reading the notice of motion dated the 16th day of July 1976 and the affidavits of KEITH SHARPLES HARDLEY and BRIAN GULSON filed herein this Court hereby orders as follows:
(a) That the reduction of paid-up capital resolved in the special resolution passed at the meeting of the company held on the 26th day of May 1976 be confirmed.
(b) That the following minute showing the amount of capital of the company be approved:
“That the share capital of the company be reduced from $930,286 divided into 930,286 shares of $1 each to $520,961 divided into 520,961 ordinary shares of $1 each by cancelling 409,325 of the existing ordinary shares and that such reduction be effected by the company paying to the shareholders the total sum of $409,325 such sum of $409,325 being in excess of the needs of the company. The said sum of $409,325 shall be paid to the shareholders in proportion to their shareholdings as at the date of the passing of this resolution with the directors having a discretion to deal with fractions so that for each $1 received by a shareholder one (1) of the shares at present held by him shall be cancelled.”
(c) That notice of the registration of this order and the said minute be published once in the New Zealand Gazette.
(d) That the requirements of section 77 (2) of the Companies Act 1955 are dispensed with.

IN THE MATTER of the Companies Act 1955, and IN THE MATTER of CLAUDE NEON LIGHTS OF NEW ZEALAND LIMITED, a duly incorporated company having its registered office at 22–28 Jellicoe Road, Panmure, and carrying on the business of light manufacturing:
NOTICE is hereby given that a petition for an order that leave be given to the petitioner to bring an action against the present and former directors of CLAUDE NEON and for an order that PHILIPS ELECTRICAL INDUSTRIES OF NEW ZEALAND LIMITED be ordered to offer to purchase all the shares of the minority shareholders of the above-named company at a price that takes into account certain factors, or for an order that the above-named company be wound up by the Supreme Court, or for such further order as shall be just was, on the 6th day of August 1976, presented to the said Court by DIRK HUDIG; and that the said petition is directed to be heard before the Court sitting at Auckland on the 13th day of October 1976 at 10 o’clock in the forenoon; any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

The notice must state the name, address, and description of the person or, if a firm, the name, address, and description of the firm and an address for service within 3 miles of the office of the Supreme Court at Auckland, and must be signed by the person or firm or his or their solicitor (if any) and must be served or, if posted, must be sent by post in sufficient time to reach the above-named petitioner’s address for service not later than 4 o’clock in the afternoon of the 12th day of October 1976.

IN THE MATTER of the Companies Act 1955, and IN THE MATTER of CHARLES HAINES LIMITED, a private company having its registered office at Wellington, carrying on business as an advertising agent:
NOTICE is hereby given that an order of the Supreme Court of New Zealand, dated the 27th day of August 1976, confirming the reduction of capital of the above-named company from $340,000 to $170,000, and the minute approved by the Court showing with respect to the capital of the company as altered the several particulars required by the above-mentioned Act, was registered by the Registrar of Companies on the 8th day of September 1976.
The said minute is in the words and figures following:
“The amount of share capital of CHARLES HAINES LIMITED henceforth is one hundred and seventy thousand dollars ($170,000) divided into three hundred and forty thousand (340,000) fully paid ordinary shares of fifty cents ($0.50) each, having been reduced from three hundred and forty thousand dollars ($340,000) divided into three hundred and forty thousand (340,000) fully paid ordinary shares of one dollar ($1) each.”

PUBLIC notice is hereby given that the Waikato County Council proposes to stop, under the provisions of the Counties Act 1956, the portions of road, described in the Schedule hereto. A plan of the portions of road proposed to be stopped lies open to public inspections at the office of the council in Clyde Street, Hamilton East. All persons objecting to the proposal must lodge their objections in writing at the office of the Council, on or before the 11th day of October 1976.
