IN the matter of the Agricultural and Pastoral Societies Act 1908, and in the matter of the Companies Act 1955, and in the matter of the WELLINGTON AND HUTT VALLEY AGRICULTURAL AND PASTORAL ASSOCIATION (in voluntary liquidation; members’ winding up):

THAT at a special general meeting of the above-named society, duly convened and held on the 7th day of December 1976, the resolution set out hereunder which was passed at the annual general meeting of the society, held on the 10th day of August 1976, viz:

“That the society be wound up voluntarily and that the funds and property of the society, after payment of all debts and liabilities of the society, be held in trust by trustees to be appointed at the special meeting at which this resolution is confirmed, for the benefit of any body or bodies formed in Upper Hutt having purposes similar to those or to some of those of the society; the term of the trust to be not exceeding 2 years with power to the trustees to pay, at their discretion, within that time, the trust fund to the Trentham Memorial Park Board for some specific purpose or purposes to be determined by the trustees; and that, in the event of this resolution being confirmed, a liquidator of the society be appointed in accordance with the provisions of the Agricultural and Pastoral Societies Act, it being understood that the liquidator would give to bodies representing sections of the society the opportunity to acquire those

assets of the society currently being used by those sections; and that this resolution be submitted for confirmation to a special general meeting convened for that purpose.
