  1. That we sign this Certificate with intent that it be registered in the Supreme Court of New Zealand at Napier for the purpose of formation, under the provisions of Part II of the Partnership Act 1908, of a special partnership to be carried on after duly formed under the style or firm name of "Tangoio Mara Limited and Company" (hereinafter called "the partnership").

  2. That the names and places of residence of all of the partners in the partnership are as follows:
    (a) The Only General Partner is TANGOIO MARA LIMITED a duly incorporated company having its registered office at Napier the only shareholders in which company are:
    GEORGE ANTHONY JOHN KNOBLOCH, who resides at Kippo, R.D. 1, Waipawa.
    JOHN PATRICK BEN LEVIEN, who resides at 50 Clark Road, Papakura.
    WARREN DAVID BRUCE PICKETT, who resides at 20 Domain Road, Waipawa.
    DAVID WILLIAM SABISTON, who resides at 1 Shakespeare Terrace, Napier.
    ALAN CHRISTOPHER STYLES, who resides at 27 Seapoint Road, Napier.
    RICHARD NEIL WATSON, who resides at 83 Porangahau Road, Waipukurau.
    (b) The Only Special Partners are the abovenamed and described George Anthony John Knobloch, John Patrick Ben Levien, Warren David Bruce Pickett, David William Sabiston, Alan Christopher Styles, and Richard Neil Watson.

  3. That the special partners abovenamed contribute to the capital of the partnership the sums respectively set beside their names hereunder namely:

  2. That the principal place at which the business of the partnership is to be transacted is in the Hawke's Bay Province and more particularly in the rural area centred on the City of Napier.

  3. That the partnership is to commence forthwith after this certificate shall have been registered in the office of the Supreme Court at Napier and is to terminate on the day 6 years and 364 days after the date of such registration.
