of, and to receive any explanation thereof by me. And to
consider and if thought fit to pass the following resolution
which will be proposed as an extraordinary resolution,
namely:

(a) That the following books and papers of the company,
that is to say:

(i) The members' and directors' minute books,
(ii) Books of account,
(iii) Share register, and
(iv) All sundry books and papers produced to
the meeting and contained in an envelope signed
by me as liquidator for the purpose of identifica-
tion,

be held in the custody of Messrs Luke, Cunningham
& Clere, Solicitors, Wellington, for a period of not
less than five (5) years from the date upon which
the company is deemed to be dissolved and at
the expiration of that period such books and papers
be disposed of as such solicitors see fit.

(b) That all other books and papers of the company be
disposed of in such manner as I see fit.

IN the matter of the Companies Act 1955, and in the matter
of PRINTING AND PACKAGING CORPORATION
LTD.:

NOTICE is hereby given that an order was made by the
Supreme Court at Christchurch on the 22nd day of August
1975 confirming a special resolution passed at an extra-
ordinary meeting of the company on the 7th day of May
1975, such resolution being in the words following, that is
to say:

"That the share premium reserve account be and the
same is hereby cancelled and the sum of $104,310, represent-
ing the whole amount standing to its credit in the books
of the company as at 30 June 1974, be available to the
directors for distribution in cash as a capital distribution
to the holders of the ordinary shares in the capital of the
company proportionately to their holding (but subject to
the provisions of article 130A as inserted by the above
resolution No. 1). Such distribution to be effected within
12 months from the date of confirmation by the Supreme
Court of this special resolution and to the extent of the
said amount to take the place of and not to be in addition
to any dividend payable out of revenue which might other-
wise become payable during the financial year ending on
30 June 1976."

and further ordering and directing that as the implementa-
tion of the said special resolution will not effect any altera-
tion to the share capital of the company no minute in terms
of section 78 of the Companies Act 1955 is required.

NOTICE is hereby given that the undersigned, the liquidator
of R. T. & J. P. Prisk Ltd., which is being wound up
voluntarily, does hereby fix the 30th day of September 1975,
as the day on or before which the creditors of the company
are to prove their debts or claims and to establish any title
they may have to priority under section 308 of the Companies
Act 1955, or to be excluded from the benefit of any dis-
tribution made before the debts are proved, or as the case
may be, from objecting to the distribution.
