Rule 37—Delete and substitute:

“'i The quorum for a meeting of the executive shall be 3.
“(ii) Questions arising at meetings of the executive shall be
decided by a majority of the votes cast.
“(iii) Each member of the executive shall have 1 vote except
when the president and the vice-president are members of the
same exchange when the vice-president shall not be entitled
to vote.
“(iv) In the event of an equality of votes the chairman shall
have a second or casting vote.
“(v) A member of the executive may not appoint a proxy.”
Rule 38—Delete and substitute:

“(i) The executive may, in lieu of meeting, transact business
by letter, telegram, telex, or telephone.
“(ii) The following rules shall apply to the transaction of
business in the manner aforesaid—
(a) Every reasonable effort (having regard to the urgency
of the matter) shall be made to refer the business to
every member of the executive.
(b) The provisions of Rule 37 (ii), (iii) and (iv) shall apply
as if the question were being determined at a meeting.
(c) A minimum of 3 votes cast shall be necessary to determine the question.”
