IN the matter of the Companies Act 1955, and in the matter of THE D.I.C. LIMITED:

FOLLOWING the sanctioning of a scheme of arrangement on the 10th day of February 1975, whereby:

(a) 250,000 preference shares of $2 each were cancelled with a consequent reduction of issued and authorised capital of $500,000.

(b) The authorised capital was increased by 500,000 ordinary shares of $1 each, 225,000 of which were issued in exchange for the cancelled preference shares, the capital of The D.I.C. Ltd. is as follows:

Authorised capital: $5,000,000
Issued capital: $2,956,070

dividend into 2,956,070 ordinary shares of $1 each, having been reduced from $3,231,070 divided into 250,000 preference shares of $2 each and 2,731,070 ordinary shares of $1 each.

On the date of registration of this minute, the amount deemed to be paid up on each of the issued shares is $1.
