In the matter of the Companies Act 1955, and in the matter
of D. H. DAVIES AND CO. LTD. a duly incorporated
company having its registered office at 29 Station Road,
Penrose, Auckland:

NOTICE is hereby given that a petition pursuant to section 209
of the Companies Act 1955, was on the 15th day of February
1974, presented to the Supreme Court by Trevor David
Davies, of Auckland, engineer, and Maree Denise Wilson,
of Auckland, married woman, whereby the said court is
petitioned as follows:

(i) That this Court do alter the Articles of Association of
the company in accordance with a resolution seeking that
result put to an extraordinary general meeting of the company
on the 3rd day of December 1973.

(ii) Alternatively, that the members of the company other
that your petitioners and the said Debra Joan Rand be
ordered to purchase the shares of your petitioners in the
sum of $25 per share or alternatively, that your petitioners
be permitted to purchase the shares of the other members
of the Company at $25 per share.

(iii) Alternatively, for any such other order that may be
just with a view to bringing to an end the matters com-
plained of by your petitioners whether regulating the conduct
of the company’s affairs in future or for the purchase of
the shares of any members of the company or otherwise.

(iv) Such further or other order as may be just.

(v) That the company do pay your petitioners’ costs herein.

And that the said petition is directed to be heard before
the Court sitting at Auckland, on the 13th day of March
1974, at 10.00 o’clock in the forenoon; and any creditor
or contributory of the said company desirous to support or
oppose the making of an order on the said petition may
appear at that time of hearing in person or by his counsel
for that purpose; and a copy of the petition will be furnished
