NOTICE OF RESOLUTION FOR VOLUNTARY WINDING UP

IN the matter of the Companies Act 1955, and in the matter of GUYS STORES LTD.:

NOTICE is hereby given that, at a special general meeting of the above-named company, held on the 29th day of January 1974, the following special resolutions were passed by the company, namely:

(1) That the company be wound up voluntarily, under section 268 (1) (b).

(2) That Mr Terrence Sanders, of Wellington, chartered accountant, be, and is hereby appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets.

IN the matter of the Companies Act 1955, and in the matter of GUYS STORES LTD.:

NOTICE is hereby given that the undersigned, the liquidator of Guys Stores Ltd., which is being wound up voluntarily, does hereby fix the 7th day of March 1974 as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

NOTICE is hereby given that an Order of the Supreme Court dated the 27th day of September 1973, confirming the reduction of capital of the above-named company from $150,000 to $15,000 and approving a minute of reduction showing with respect to the share capital of the company as altered by the order the several particulars required by the above statute, was registered by the Registrar of Companies on the 12th day of December 1973.
