NOTICE CALLING FINAL MEETING
IN the matter of the Companies Act 1955, and in the matter of ERIC HOLDINGS LTD. (in liquidation):
NOTICE is hereby given, in pursuance of section 291 of the Companies Act 1955, that a general meeting of the above-named company will be held at Robert Dobson and Co’s office, Phoenix House, Tennyson Street, Napier, on Friday, the 11th day of January 1974, at 3 o’clock in the afternoon, for the purpose of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof by the liquidator.

Further business:
To consider and if thought fit to pass the following resolution as an extraordinary resolution, namely:

“That the books and papers of the company and of the liquidator be held for the lawfully required time in the office of the liquidator.”

Every member entitled to attend and vote at the meeting is entitled to appoint one or more proxies to attend and vote instead of him. A proxy need not also be a member. Proxies to be used at the meeting must be lodged with the undersigned at Phoenix House, Tennyson Street, Napier, not later than 3 p.m. on the 9th day of January 1974.

NOTICE is hereby given that the following special resolutions were passed by an extraordinary general meeting of shareholders on the 12th day of December 1973—

“1. That the resolution passed by the extraordinary general meeting of shareholders on the 5th day of November 1973 (whereby the company shall amalgamate with the Mid-Northland Co-operative Dairy Co. Ltd.) be confirmed, and that the company shall adopt and ratify the amalgamation agreement made between the company and the Mid-Northland Co. on 5 November 1973.

“2. That for the purpose of carrying the said amalgamation agreement into effect, the company be wound up voluntarily.”

and that the following ordinary resolution was passed by an extraordinary general meeting of shareholders held on the 12th day of December 1973—

“That David Scrivener, of Warkworth, be and hereby is appointed liquidator.”
