Notice of Voluntary Winding-up Resolution and of Meeting of Creditors

IN the matter of the Companies Act 1955, and in the matter of Marian Products Ltd. (in liquidation), notice is hereby given that by an entry in the minute book of the company, signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 14th day of August 1973, passed the following resolution for voluntary winding up:

“That the company cannot by reason of its liabilities continue its business and that it is advisable that the company be wound up, and accordingly the company be wound up voluntarily, and that a meeting of creditors will accordingly be held at Room 10, Chamber of Commerce Building, 2 Courthouse Lane, Auckland, on Friday, 24 August, at 4.00 p.m.”

“That the books and records of the company and of the liquidator be held by Messrs Gilfillan, Gentles, Pickles, Perkins, and Co. for a period of 5 years from the date of this meeting and then be destroyed.”

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member of the company.
