Notices

  1. Notice of any meeting required to be given under these rules will be given in writing and delivered by post or by being placed in the memberโ€™s box in the Trading Room.

  2. The notice required for a general or annual general meeting or special general meeting shall be 7 days, and for a committee meeting 2 days.

  3. The Chairman in his absolute discretion may dispense with the required notice where he considers that an emergency meeting of members or the Committee is desirable or necessary.

Disputes, Complaints, and Charges

  1. All disputes, complaints, and charges shall be dealt with in accordance with the Rules of the Stock Exchange Association of New Zealand.

  2. Notwithstanding the provisions of the preceding rule, the Committee shall have power to hear charges against any member for any breach of these rules or against any member whose conduct is considered detrimental to the well being of the Exchange.

Quorum

  1. The quorum for general and special general meetings shall not be less than one-third of the total members of the Exchange for the time being entitled to vote. If there is not a quorum present at any meeting, either of the Exchange or the Committee, within 15 minutes of the time appointed, the same shall lapse. The lapse of a meeting shall in no way prejudice or affect the right to call another meeting for the same purpose.

The quorum for meetings of the committee shall be three.

The quorum for a trading meeting shall be prescribed in the by-laws governing the operation of such meetings.

Alteration of Rules

  1. The Exchange shall have power to alter, amend, or repeal any of these rules.

  2. Notice shall be given in writing, addressed to the Secretary, of any proposed amendment, or repeal of, or addition to the rules. A special general meeting shall be called to consider any proposed alteration, amendment, or repeal, and at least 7 daysโ€™ notice of such meeting shall be given to the members by circular, sent to the last known business address of each member. The circular shall contain a copy of the proposed alteration, amendment, or repeal, but the accidental omission to give any such notice to any member shall not invalidate any proceedings taken or any resolution passed at such meeting. No amendment which introduces fresh matter shall be entertained at the meeting and no proposed amendment, or repeal of, or addition to, the rules, if rejected, shall be entertained again for 12 months.

Any proposed alteration, amendment, or repeal of these rules must be passed by a three-quarters majority of those members present and voting.

Dissolution

  1. The distribution of the property of the Exchange in the event of its winding up shall be determined by a special general meeting of the members of the Exchange.
