were duly passed on the 29th day of March 1972 by means
of an entry in the minute book of the company, pursuant to the
provisions of section 362 of the Companies Act 1955:
"1. That the company be wound up voluntarily.
2. That Philip Michael Wright, of Auckland, company
secretary, be and is hereby appointed liquidator for the purpose
of winding up the affairs of the company and distributing the
assets."
The liquidation is an incident of the reorganisation of the
Tappenden Industries Group. The business of the company has
