1. That, pursuant to section 24 of the Incorporated Societies
   Act 1908, the society be wound up voluntarily, for the purpose
   of reconstruction involving the transfer by members of the
   surplus of its assets (after payment of all debts and liabilities)
   to a new private limited liability company to be known as
   New Zealand Provincial Press Ltd.

2. That Mr M. J. Willoughby be appointed the liquidator of
   the society.

And notice is further given that, pursuant to section 24 of
the Incorporated Societies Act 1908, at a further General
Meeting of the Society held on the 1st day of April 1970 the
above resolutions were confirmed by the meeting.
