MATHESON MINSTER LTD.
IN VOLUNTARY LIQUIDATION
Notice of Resolutions In the matter of the Companies Act 1955 and in the matter of Matheson Minster Ltd., notice is hereby given that at a duly convened meeting of the company held on the 8th day of April 1964 the following extraordinary resolutions were passed by the company:
“(1) That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and that the company be wound up as a creditors' winding up. “(2) That Mr L. R. Willis, public accountant, of Auckland, be and he is hereby appointed liquidator of the company.”
Notice is further given that at a meeting of creditors of the above company held on the 8th day of April 1964 the following resolutions were passed:
“(1) That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and that the company be wound up as a creditors' winding up. “(2) That, pursuant to section 285 of the Companies Act 1955, Mr L. R. Willis, public accountant, of Auckland, be and he is hereby appointed liquidator of the company. “(3) That no committee of inspection be appointed.”

(in voluntary liquidation) will be held at 3.30 p.m., on Friday, 24 April 1964, at the office of the liquidator, Eric Douglas Rex, Public Accountant, 22 Anglesea Street, Hamilton, for the purpose of laying before the members an account showing how the winding up has been conducted and the property of the company has been disposed of, and also for the purpose of determining by extraordinary resolution the manner of disposal of the books and papers of the company.

(in liquidation), notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 10th day of April 1964 the following extraordinary resolutions were passed by the company:
“That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and that accordingly the company be wound up voluntarily. “That Mr C. J. Davey, of Palmerston North, public accountant, be nominated by the company to be liquidator for the purpose of winding up its affairs and distributing its assets.” And notice is further given that a meeting of the creditors of the said company will be held, pursuant to section 284 of the Companies Act 1955, in the boardroom at the offices of Messrs Brace, Davey, and Taylor, Public Accountants, Second Floor, A.M.P. Building, Broadway, Palmerston North, on Monday, 20 April 1964, at 2.30 p.m., at which meeting a full statement of the position of the company’s affairs, together with a list of creditors and the estimated amount of their claims, will be laid before the meeting and at which meeting the creditors, in pursuance of section 285 of the said Act, may nominate a person to be liquidator and, in pursuance of section 286 of the said Act, may appoint a committee of inspection.
