PURSUANT to section 269 of the Companies Act 1955, notice is hereby given that, by entry in the company’s minute book pursuant to section 362 of the Companies Act 1955, on the 1st day of August 1962, the following special resolutions were duly passed:

“1. That the company be wound up voluntarily.

THE liquidator of Commercial Buildings (Te Kuiti) Ltd., which is being wound up voluntarily, doth hereby fix the 20th day of August 1962 as the day on or before which the creditors of the company are to prove their debts or claims and to establish any title they may have to priority under section 308 of the Act, or to be excluded from the benefit of any distribution made before such debts are proved or, as the case may be, from objecting to such distribution.

“That the company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily; and it is hereby further resolved that Mr Thomas Victor Gerrard Beeson, public accountant, of Onehunga, be and he is hereby appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets.”

NOTICE is hereby given that, by entry in its minute book signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company, on the 1st day of August 1962, passed a resolution for voluntary winding up, and that a meeting of the creditors of the above-named company will accordingly be held at Room 309, Third Floor, T. and G. Building, Wellesley Street West, Auckland, on Tuesday, the 14th day of August 1962, at 3.30 p.m.

Business:

Consideration of a statement of the position of the company’s affairs and list of creditors, etc.

Nomination of liquidator. The company has appointed Thomas Victor Gerrard Beeson, public accountant, of Onehunga, as liquidator. This is subject to creditors’ approval.

Form of general proxy is attached hereto. Proxy to be used at the meeting must be lodged at the office of the manager on behalf of creditors, Mr T. V. Gerrard Beeson, public accountant, 145 Queen Street, Onehunga (P.O. Box 13064, Onehunga), not later than 4 p.m. on Friday, the 10th day of August 1962.

NOTICE is hereby given that a petition for the winding up of the above-named company by the Supreme Court was, on the 25th day of July 1962, presented to the said Court by Dishmaster Appliances Ltd., a company duly incorporated and having its registered office at Wellington, wholesalers; and that the said petition is directed to be heard before the Court sitting at Christchurch on the 22nd day of August 1962 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose, and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.
