the minute book of Soutter and Brockman Ltd., the shareholders of the company passed the following extraordinary
resolution:
"That, the company cannot, by reason of its liabilities,
continue in business and that it is advisable to wind up, and
that the company be wound up voluntarily, and that, in
pursuance of section 285 of the Companies Act 1955, Mr
Karl Neil McGillivray, public accountant, of Christchurch,
be nominated as liquidator of the company."

a resolution for voluntary winding up is to be proposed,
