Notice of Resolution for Voluntary Winding Up
In the matter of the Companies Act 1955 and in the matter of the Union Clothing Co. Ltd.

NOTICE is hereby given that, by duly signed entry in the minute book of the above-named company on the 26th day of September 1958, the following special resolution was passed by the company, namely:

“That the company be wound up voluntarily; and that Charles John Pirie, of Wellington, company secretary and director, be and he is hereby appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets.”

Dated this 29th day of September 1958.

The Union Clothing Co. Ltd. closed down its business and ceased trading on 4 October 1957.

NOTICE is hereby given that, by an extraordinary resolution passed pursuant to section 362 of the Companies Act 1955, on 15 August 1958, it was resolved:

“(1) That the company cannot by reason of its liabilities continue its business, and that it is advisable to wind up, and that the company be wound up voluntarily.

“(2) That, in pursuance of section 285 of the Companies Act 1955, Mr Denis T. Ager, of Christchurch, public accountant, be and is hereby nominated as liquidator of the company.”

Notice is also given that a meeting of the creditors of the company will be held in pursuance of section 362 of the Companies Act 1955, at the Board Room, Epworth Chambers, 176 Hereford Street, Christchurch, on Wednesday, the 8th day of October 1958, at 10 a.m., at which meeting a full statement of the company’s affairs, together with a list of the creditors and the estimated amount of their claims, will be laid before the meeting, and at which meeting the creditors, in pursuance of section 285 of the said Act, may nominate a person to be liquidator of the company and, in pursuance of section 286 of the said Act, may appoint a committee of inspection.
