NOTICE is hereby given that the above-named company duly passed the following resolution on the 28th day of February 1955:

‘‘That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same, and that accordingly the company be wound up voluntarily, and that Mr Charles Kingsley Mills, of Auckland, Public Accountant, be appointed liquidator, and that his charges be paid in accordance with the scale laid down by the New Zealand Society of Accountants.’’

‘‘That the company be wound up voluntarily under the provisions of the Companies Act 1933 applicable to a members voluntary winding-up, and that William Couper, Public Accountant, 99 Lower High Street, Dunedin, be and is hereby appointed liquidator for the purpose of such winding-up.’’

THE liquidator of E. G. Carter Limited, which is being wound up voluntarily, doth hereby fix the 20th day of April 1955 as the day on or before which creditors of the company are to prove their claims and to establish any title they may have to priority under section 258 of the Companies Act, or to be excluded from the benefit of any distribution made before such debts are proved or, as the case may be, from objecting to such distribution.

OPOTIKI BOROUGH COUNCIL

RESOLUTION MAKING SPECIAL RATE

EXTRACT from the minutes of a meeting of the Opotiki Borough Council held on the 3rd day of March 1955:

‘‘In pursuance and exercise of the powers vested in it in that behalf the Opotiki Borough Council hereby resolves as follows:

‘‘‘That, for the purpose of providing interest and other charges on a loan of £2,300 to be called Housing Loan 1952, £2,300, authorized to be raised by the Opotiki Borough Council under the various Acts and an authority contained in the Local Legislation Act 1951 for the purpose of refunding to the District Fund Account moneys advanced for the purpose of purchasing lands and buildings, carrying out repairs and renovations thereto, and meeting incidental expenses, the said Opotiki Borough Council hereby makes and levies a special rate of point two five pence (0·25d.) in the pound upon the rateable value of all rateable property in the Borough of Opotiki, and that such special rate shall be an annual-recurring rate during the currency of such loan, and be payable yearly on the 1st day of April in each and every year during the currency of such loan, being a period of twenty (20) years or until the loan is fully paid off.’’’

I hereby certify that the above resolution was passed at a properly constituted meeting of the Opotiki Borough Council held on the 3rd day of March 1955.
