WEATHERMAKERS PTY., LTD.
In the matter of the Companies Act, 1933, and in the matter of WEATHERMAKERS Pty., LTD., a company incorporated in New South Wales, Australia.
PURSUANT to section 338 of the Companies Act, 1933, Weathermakers Pty., Ltd., hereby gives notice of its intention to cease to have a place of business in New Zealand after the expiration of three months from the date of the first publication of this notice in the New Zealand Gazette—viz., from the 23rd July, 1942.

THAMES COUNTY COUNCIL.
RESOLUTION MAKING SPECIAL RATE.
IN pursuance and exercise of the powers vested in it in that behalf by the Local Bodies' Loans Act, 1926, the Thames County Council hereby resolves as follows :-
"That, for the purpose of providing the interest, sinking fund, and other charges on a loan of five hundred pounds (£500), authorized to be raised by Thames County Council under the above-mentioned Act, for the purpose of taking water from Mamaku Stream at the north end and Pokopokoru Stream at the south end of Thornton's Bay, situated in the County of Thames, and conveying it by means of suitable sized pipes from intakes of sufficient altitude to insure a gravitational supply to storage tanks serving residences and summer resorts within the area, and the taking of lands for such works where necessary, the Thames County Council hereby makes and levies a special rate of twopence one farthing (2½d.) in the pound upon the rateable value of all rateable property (on the basis of the unimproved value) within the said Thornton's Bay Water-supply Area, bounded as follows : Fronting the Thames-Waikawau Main Highway between Mamaku Stream at the north and Pokopokoru Stream at the south end, comprising Lots 1 to 28 of Thames Extension No. 4, being Haerehuka parts of Te Wharau Nos. 1 and 2 of Mamaku, and of Section 1, part Section 8, and Lots 1 to 19, part plan H. 40, Te Wharau Block, all in Block I of Thames Survey District ; and that such special rate shall be an annual-recurring rate during the currency of the said loan and be payable half-yearly on the 30th day of September and the 31st day of March in each and every year during the currency of such loan, being a period of twenty years or until the loan is fully paid off."

We hereby certify that the foregoing is a true copy of a resolution passed at a meeting of the Thames County Council held in the Council Chambers on the 9th day of July, 1942, and as appearing in the minutes of such meeting.

Notice of Voluntary Winding-up Resolution.
PURSUANT to section 222 of the Companies Act, 1933, notice is hereby given that at an extraordinary general meeting of the above-named company, duly convened and held on the 30th day of July, 1942, the following special resolutions were duly passed :
"1. That the company be wound up voluntarily."
"2. That Mr. R. S. M. SINCLAIR, of Dunedin, Public Accountant, be and he is hereby appointed liquidator of the company."
And I do further give notice that I do fix the 24th day of August, 1942, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 258 of the Act, or to be excluded from the benefit of any distribution made before such debts are proved, or, as the case may be, from objecting to such distribution.
