Canterbury District.
In the matter of the Companies Act, 1933, and in the matter
of HAYWARD BROS. AND COMPANY, LIMITED.
Before the Honourable Mr. Justice Northcroft, Tuesday, the
19th day of July, 1938.
UPON reading the petition of the above-named company
filed herein and the affidavit filed in support thereto,
and upon hearing Mr. R. J. Loughnan of counsel for the
petitioner, this Court doth order that the reduction of the
issued capital and the cancellation of the unissued capital
of the said company proposed to be effected by the special
resolution of the said company duly passed at a special
meeting of the said company held on the 13th day of June,
1938, which resolution was in the words and figures following—
“ That the capital of the company which now is £27,584 10s.,
divided into 24,831 ordinary shares of 10s. each, 4,929
preference shares of £1 each, 5,169 ordinary shares of £1 each
at present unallotted, and 5,071 preference shares of £1
each at present unallotted be as from the 29th day of June,
1938, reduced to £1,089 5s. 3d. by
“(a) Reducing each of the said 24,831 ordinary shares
from 10s. per share to 1d. per share ;
“(b) Reducing each of the said 4,929 preference shares
from £1 per share to 4s. per share ;
“(c) Cancelling the said 5,169 unallotted ordinary shares
of £1 each ;
“(d) Cancelling the 5,071 unallotted cumulative preference
shares of £1 each”;
be and the same is hereby confirmed : And it is further
ordered that the addition of the words “and reduced” to
the name of the company be and the same is hereby dispensed
with: And it is further ordered that publication or notice
of presentation of the said petition and of the company's
reasons for the said reduction and any advertisement as to
the date appointed for the hearing of the said petition and
the settling of the list of creditors of the company be and
the same is hereby dispensed with : And this Court doth
approve of the minute set forth in the Schedule hereto :
And it is further ordered that notice of the registration of
this order and of the said minute with the Registrar of
Companies be published as follows—that is to say, once in
the New Zealand Gazette.

£1,089 5s. 3d., divided into 24,831 ordinary shares of 1d.
each and 4,929 preference shares of 4s. each, all of which
