  1. That the said Liquidator be authorized to consent to the registration of a new company to be called "W. Penrose and Co., Limited," with a memorandum and articles of association which have already been prepared with the privity and approval of the directors of this company.

  2. That the draft agreement submitted to the members and expressed to be made between this company and its Liquidator of the one part, and W. Penrose and Co., Limited (new company), of the other part, be hereby approved, and that the said Liquidator be hereby authorized pursuant to section 259 of the Companies Act, 1908, to enter into an agreement with such new company (when incorporated) in the terms of the said draft, and to carry the same into effect with such (if any) modifications as he thinks expedient.

INVERCARGILL CITY COUNCIL.

RESOLUTION MAKING A SPECIAL RATE.

Extract from the minutes of proceedings of the Invercargill City Council at a meeting of such Council held on the 6th day of September, 1932.

IN pursuance and in exercise of the powers vested in it in that behalf by the Local Bodies' Act, 1926, and of all other powers (if any) it thereunto enabling, the Invercargill City Council hereby resolves as follows:

That for the purpose of providing the interest and other charges on a loan of £24,000, authorized to be raised by the Invercargill City Council under the above-mentioned Act for the purpose of redeeming the outstanding liability in respect of a loan of thirty-one thousand pounds (£31,000), maturing on 1st October, 1932, the said Invercargill City Council hereby makes and levies a special rate of decimal three five (.35) of one penny in the pound on the rateable value (on the basis of the unimproved value) of all rateable property in the City of Invercargill, comprising the whole of the City of Invercargill, and that such special rate shall be an annual-recurring rate during the currency of such loan, and be payable yearly on the thirty-first day of July in each and every year during the currency of such loan, being a period of twenty years, or until the loan is fully paid off.

The common seal of the Mayor, Councillors, and Citizens of the City of Invercargill was hereunto affixed at the office of, and pursuant to a resolution of, the Invercargill City Council passed at a meeting of such Council in the presence of—

ONEHUNGA BOROUGH COUNCIL.

RESOLUTION MAKING SPECIAL ANNUAL-RECURRING RATE.

IN pursuance and exercise of the powers vested in it in that behalf by the Local Bodies' Loans Act, 1926, the Onehunga Borough Council resolves as follows:

That, for the purpose of providing the interest and other charges on a loan of three thousand five hundred pounds (£3,500), authorized to be raised by the Onehunga Borough Council under the above-mentioned Act for the purpose of redeeming the outstanding liability in respect of a loan of three thousand five hundred pounds (£3,500), which matured on the 1st day of July, 1932, the said Onehunga Borough Council hereby makes and levies a special rate of one-eighth of one penny (1/8d.) in the £1 upon the rateable value of all rateable property (on the basis of the unimproved value) in the Borough of Onehunga, and that such special rate shall be an annual-recurring rate during the currency of such loan, and be payable yearly on the first day of December in each and every year during the currency of such loan, being a period of five (5) years, or until the loan is fully paid off.

COROMANDEL COUNTY COUNCIL.

NOTICE OF INTENTION TO TAKE LAND.

In the matter of the Counties Act, 1920, and the Public Works Act, 1928.

NOTICE is hereby given that the Coromandel County Council proposes under the provisions of the above-mentioned Acts to execute a certain public work—namely, the Waikawau Beach Access Road; and for the purposes of such public work the lands described in the Schedule hereto are required to be taken.

Notice is hereby further given that a plan of the lands so required to be taken is deposited in the public office of the Clerk to the said Council, situate at Kapanga Road, Coromandel, and is open for inspection without fee by all persons during ordinary office hours.

All persons affected by the execution of the said public work or by the taking of such lands who have any well-grounded objections to the execution of the said public work or to the taking of the said lands must state their objections in writing and send the same within 40 days from the first publication of this notice to the County Clerk at the Council Chambers.

RESOLUTION MAKING SPECIAL RATE.

Town Hall (Supplementary) Redemption Loan, 1932, £9,300.

THAT in pursuance and exercise of the powers vested in it in that behalf by the Municipal Corporations Act, 1920, the Local Bodies' Loans Act, 1926, the Local Government Loans Board Act, 1926, and of all other powers thereunto enabling it, the Auckland City Council doth hereby resolve as follows:

That for the purpose of providing interest and other charges on a loan of nine thousand three hundred pounds (£9,300), authorized to be raised by the Auckland City Council under the above-mentioned Acts for the purpose of redeeming the outstanding liability in respect of a loan of eleven thousand pounds (£11,000), maturing on the 26th October, 1932, the said Auckland City Council doth hereby make and levy a special rate of one-fourteenth of one penny (1/14d.) in the £1 upon the rateable value of all rateable property comprising the whole of the City of Auckland, and that such special rate be an annual-recurring rate during the currency of such loan, and be payable yearly on the first day of June in each and every year during the currency of such loan, being a period of twenty-six (26) years, or until the loan is fully paid off.
