THE NEW ZEALAND GAZETTE.

OHINEMURI COUNTY COUNCIL.
NOTICE OF STRIKING SPECIAL RATE.
NOTICE is hereby given that the following resolution was passed at a special meeting of the above Council, held on the 20th day of November, 1929.
Resolution.
That, in pursuance and exercise of the powers vested in it in that behalf by the Local Bodies’ Loans Act, 1926, the Ohinemuri County Council hereby resolves as follows:—
“That, for the purpose of providing the interest and other charges on a loan of £2,300, authorized to be raised by the Ohinemuri County Council under the above-mentioned Act, for providing and reticulating the Kaimanawa Water-supply Special-rating Area with a farming and domestic water-supply, the said Ohinemuri County Council hereby makes and levies a special rate of nine-sixteenths of a penny in the pound upon the rateable value of all rateable property (on the basis of the capital value) of the said special-rating area, comprising all that land within the following boundaries:—
Commencing at a point where the Thames-Paeroa railway crosses the Hikutaia Stream; thence along the left bank of the Hikutaia Stream in a general westerly direction to the junction of the said stream with the Waihou River; thence along the right bank of the said Waihou River in a general southerly and easterly direction to a point where the southern boundary of Lots 1, 2, and 3, of Komata North No. 1A 3B Block No. 1A 4 and No. 1B, shown on Land Transfer plan No. 8030, contacts with the right bank of the Waihou River; thence in an easterly direction along the southern boundaries of the aforesaid blocks to the point where it intersects with the Thames-Paeroa railway-line; thence in a northerly direction along the western side of the said railway-line to the point of commencement:
And that such special rate shall be an annually recurring rate during the currency of such loan, and be payable yearly on the 1st day of April in each and every year during the currency of such loan, being a period of twenty-six years, or until the loan is fully paid off.”

IN VOLUNTARY LIQUIDATION.
In the matter of the Companies Act, 1908; and in the matter of E. SIME AND CO., LTD., a company duly incorporated and having its registered office in Wellington.
NOTICE is hereby given that the following resolutions were passed by the shareholders of E. SIME AND CO., LTD., as extraordinary resolutions at an extraordinary general meeting of the company duly convened and held at the offices of Messrs. Duncan, Cotterill, and Co., Solicitors, Christchurch, on the 5th day of November, 1929:—
“1. That it is desirable to reconstruct the company, and accordingly that the company be wound up voluntarily, and that WILLIAM ERNEST BEST, of Christchurch, Public Accountant, be and he is hereby appointed Liquidator for the purposes of such winding-up.
“2. That the said Liquidator be and he is hereby authorized to consent to the registration of a new company, to be called ‘The Vesta Battery Company of New Zealand, Limited,’ with a memorandum and articles of association which have already been prepared with the privity and approval of the directors of this company.
“3. That the said WILLIAM ERNEST BEST, as such Liquidator aforesaid, be and he is hereby authorized, pursuant to section 259 of the Companies Act, 1908, to make and enter into any such sale or arrangement as is contemplated by the said section, and in particular to make and enter into an agreement with Ernest David Hood Sime, of Wellington, Company-manager, as trustee and agent for and on behalf of such new company to be called ‘The Vesta Battery Company of New Zealand, Limited,’ for the sale to such proposed new company of the present company’s business and assets upon the terms set forth in the draft agreement submitted to this meeting and expressed to be made between the company and its Liquidator, the said William Ernest Best, of the one part, and the said Ernest David Hood Sime, as trustee and agent for the new proposed company aforesaid, of the other part; and that the said agreement be and the same is hereby approved; and that the said Liquidator carry same into effect with such (if any) modification as he may think expedient.”
Notice is also hereby given that at a further extraordinary general meeting of the company duly convened and held at the offices of Messrs. Duncan, Cotterill, and Co., Solicitors, Christchurch, on the 20th day of November, 1929, for the purpose of confirming the above resolutions as special resolutions, such resolutions were duly confirmed accordingly.

IN VOLUNTARY LIQUIDATION.
In the matter of the Companies Act, 1908; and in the matter of the PROPERTY REGISTER AND SERVICE, LIMITED.
BY minute in the company’s minute-book signed by the required majority of the members for the purpose of passing the resolution hereinafter mentioned, the company resolved to go into voluntary liquidation on the 8th day of November, 1929:—
“That it is proved to the satisfaction of the company that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily, and that JOHN ROBERT SAMSON be appointed Liquidator.”
