NOTICE is hereby given that at an extraordinary general meeting of the above-named company, held at Hamilton on the 24th day of November, 1927, the following special resolution was passed, and at a subsequent extraordinary general meeting of the said company, held at Hamilton on the 15th day of December, 1927, the said resolution was duly confirmed, viz. :—

NOTICE is hereby given that, pursuant to subsection (6) of section 168 of the Companies Act, 1908, the following extraordinary resolutions have been entered in the minute-book of the above company on the 19th day of December, 1927 :—

  1. That it has been proved to the satisfaction of the company that it cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and that the company be wound up accordingly.

  2. That ISIDORE MELTZER, of Auckland, Accountant, be and he is hereby appointed Liquidator for the purposes of winding up the affairs of the company.

I, WALTER HAROLD FLETCHER, Assistant Registrar of Companies, hereby certify that a copy of an order of the Court dated the 15th day of December, 1927, confirming the reduction of capital of THE GLAXO MANUFACTURING COMPANY (N.Z.), LIMITED, from five hundred thousand pounds (£500,000) to two hundred thousand pounds (£200,000), and a minute showing the amount of the capital of the company as altered by the order, the number of shares into which the capital is divided, and the amount of each share, were registered by me on the 20th day of December, 1927.

“ That the company be wound up voluntarily under the provisions of the Companies Act, 1908, and its amendments, and that Mr. L. B. GILFILLAN, of Hamilton, Solicitor, be appointed Liquidator for the purpose of such winding-up.”

All claims against the above-named company must be made to Box 128, Hamilton, on or before the 10th day of January, 1928, otherwise they may be excluded from any distribution of the assets.

NOTICE is hereby given that a petition for the winding-up of the above-named society by the Supreme Court, was, on the 13th day of December, 1927, presented to the Honourable Mr. Justice Adams, a Judge of the Supreme Court, by John Alexander Pringle Philp, trading as “ John A. Philp and Company,” of 183 Cashel Street, Christchurch, Oil Importer, a creditor of the said society. And the said petition is directed to be heard before a Judge of the said Court on Wednesday, the 1st day of February, 1928, at the Supreme Court, Christchurch, and any creditor or contributory of the said society desirous to oppose the making of an order for the winding-up of the said society under the above Act should appear at the time of hearing, by himself or his counsel, for that purpose ; and a copy of the petition will be furnished to any creditor or contributory of the said society requiring the same, by the undersigned on payment of the regulated charge for the same.
