THE Partnership hitherto subsisting between the under-signed DAVID McLEAN WALLACE and CHARLES HENRY STEPHENSON, carrying on business at Te Aroha as “The W. & S. Machine Company” (Weighing and Sampling Machine Company), is dissolved by mutual consent as from and after 21st June, 1922. The undersigned DAVID McLEAN WALLACE has right to the assets and will discharge the liabilities of the Partnership.

SOUTHPORT COAL COMPANY (LIMITED).

AT an extraordinary meeting of shareholders duly called and held at the Acting-Secretary’s office in Esk Street, Invercargill, on Thursday, 1st June, 1922, the following motion was moved and adopted, namely :—

“ That it has been proved to the satisfaction of the company that the company cannot by reason of its liabilities continue its business, and that it is advisable to wind up the same.”

A motion was also adopted as follows :—

“ That Mr. R. J. CUMMING be appointed Liquidator, and that the balance of assets, after refunding fourpence halfpenny per share on all “ B ” shares paid up to twenty shillings, be retained by him as Liquidator’s remuneration.”

THE AUCKLAND AND SUBURBAN DRAINAGE BOARD.

SPECIAL ORDER MAKING BY-LAW NO. 3.

THE Auckland and Suburban Drainage Board doth hereby, by special resolution intended to operate as a special order in terms of section 12 of the Auckland and Suburban Drainage Act, 1908, ordain as follows :—

  1. This by-law shall be read with and as extending and amending By-laws No. 1 of the Auckland and Suburban Drainage Board made by the said Board on 28th July, 1909, and words herein used shall have the same meaning and be interpreted in the same way as the same words when used in the said By-laws No. 1.

  2. Paragraph 87 of the said By-laws No. 1 relating to the quorum at meetings of committees is hereby repealed, and in lieu thereof the following is enacted, viz.,—

The quorum of any committee dealing in the way of its ordinary business with works, finance, or legal matters, or all or any of such matters, shall be five of its members ; and the quorum of all other committees shall be half the number of members of such committee, provided that if such number is odd then the quorum shall be a majority of such members.

The foregoing special order was made by way of a special resolution passed at a special meeting of the Auckland and Suburban Drainage Board convened by requisition of the Chairman dated the 26th day of May, 1922, and held on the 31st day of May, 1922. It was publicly notified in the New Zealand Herald on the 6th, 19th, and 29th days of June, 1922, and the Auckland Star on the 12th, 26th, and 29th days of June, 1922. It was confirmed at a special meeting of the said Board convened by resolution of the Board on the 31st day of May, 1922, and held on the 29th day of June, 1922. It was, by resolution passed by the said Board on the 29th day of June, 1922, ordered to come into force on the 10th day of July, 1922, or as soon thereafter as the consent of His Excellency the Governor-General is given to the said by-law.

The common seal of the Auckland and Suburban Drainage Board was hereto affixed this twenty-ninth day of June, 1922, in the presence of—
