HOBSON COUNTY COUNCIL.

RESOLUTION STRIKING SPECIAL RATE.

IN pursuance and in exercise of the powers vested in it in that behalf by the Local Bodies’ Loans Act, 1913, and of all other powers (if any) it thereunto enabling, the Hobson County Council hereby resolves as follows:—

That, for the purpose of providing for the payment of the interest, sinking fund, and other charges on a loan of one thousand five hundred pounds (£1,500), authorized to be raised by the Hobson County Council, under the above-mentioned Act, for the purpose of metalling a portion of the Dargaville–Auckland Road situate within the Auckland Road Special Rating Area of the said county, the said Hobson County Council hereby makes and levies a special rate of one penny and one farthing in the pound sterling on the rateable value (on the basis of the unimproved value) of all rateable property in the Auckland Road Special Rating Area, being Sections 1 to 9 (both inclusive), 13 to 19 (both inclusive), and Sections 27 to 30 (both inclusive) of Horehore Number 2, subdivisions of Maungatawhari Block and Horehore Block of Block XIII, Maungaru Survey District, and Blocks I and II, Tokatoka Survey District, County of Hobson; and that such special rate shall be an annually recurring rate during the currency of such loan, and be payable yearly on the 1st day of June in each and every year during the currency of such loan, being a period of thirty-six and one-half years, or until the loan is fully paid off.

I hereby certify that the above is a true copy of resolution passed as a meeting of the Hobson County Council on the 19th August, 1919.

H. E. PARTRIDGE AND COMPANY (LIMITED).

NOTICE is hereby given that on the fifth day of August, 1919, the following resolution was passed and confirmed as a special resolution by the members of H. E. Partridge and Company (Limited), in manner provided by subsection (6) of section 168 of the Companies Act, 1908.

RESOLUTION.

  1. That it is expedient to reconstruct the company, and to transfer its undertaking (including the goodwill) and the stock in trade, furniture, and fittings and fixtures, plant, machinery, book debts, contracts, and engagements to which the company is entitled in connection with its business, and also such of the agencies to which the company is entitled, as the company can assign to the purchaser company with the consent of the principals from whom the company holds the same (excepting, however, from such undertaking and assets all cash in hand at the bank and on deposit at interest,

all cash invested in Government bonds or securities, and certain assets appearing in the books of the company or its balance-sheets under the respective headings “Property Agency Account” and “Partridge Agencies (Limited)” (which latter account prior to the twenty-fourth day of April, 1918, appeared in the books of the company under the heading of “Partridge Abercromby (Limited),” and also the warehouse and offices of the company and the goodwill of the company in connection with the business of warehouse-keepers and the assets belonging thereto), to a new company proposed to be incorporated as a private company under the name of “H. E. Partridge and Co. (N.Z.) (Limited),” and that with a view thereto the company be wound up voluntarily; and that HENRY EDWARD PARTRIDGE be and he is hereby appointed Liquidator for the purpose of such winding-up.

  1. That the said Liquidator be and he is hereby authorized to consent to the registration of such new company with memorandum and articles of association which have been already prepared with the privity and consent of the directors of the company, and initialled by the Chairman (Henry Edward Partridge) for the purpose of identification.

  2. That the draft agreement expressed to be made between the company and the Liquidator, of the first part, Henry Edward Partridge, Harry Harold Partridge, Miriam Antoinette Partridge, Lillian Jessie Katherine Wiseman, Miriam Lena Partridge, Myra Lindauer Graham, Eileen Lois Partridge, Colleen Joan Conridine, Mary Duthie, and Malcolm Wiseman, of the second part, the said Henry Edward Partridge and Harry Harold Partridge, of the third part, and Oliver Nicholson (as trustee for and on behalf of such new company), of the fourth part, be and the same is hereby approved, and that the Liquidator be and he is hereby authorized to enter into an agreement on behalf of the company in terms of the said draft and to carry the same into effect, with such (if any) modifications as he may think expedient.
