ALLEN'S HYDRAULIC SLUICING COMPANY (LIMITED).
At an extraordinary general meeting of the above-named company held on the 10th February, 1910, the following special resolution was duly passed, and was confirmed at a meeting held for that purpose on the 25th of the same month: “That it has been proved to the satisfaction of this meeting that the company’s claim cannot be worked with advantage to the shareholders, and that it is advisable to wind up the company, and accordingly that the same be wound up voluntarily; also that William Thomas Monkman, of Dunedin, Accountant, be and he is hereby appointed Liquidator for the purposes of such winding-up.”

THE RESOLUTION BAY ANTIMONY PROSPECTING COMPANY (LIMITED).
IN LIQUIDATION.
A MEETING of shareholders of the above company will be held at the office of Messrs. Griffiths and Son, High Street, Blenheim, on the 14th day of March, 1910, at the hour of 4 o'clock p.m., to receive an account showing the manner in which the winding-up of the company has been conducted and the assets of the company disposed of; also to determine the manner in which the books and documents of the company are to be disposed of.

In the matter of “The Companies Act, 1908”; and in the matter of the Waihi-Paeroa Gold Extraction Company (Limited), being a company duly incorporated as a “private company” under the said Act.
NOTICE is hereby given that on the 22nd day of February, 1910, the undernoted special resolutions were duly passed by the Waihi-Paeroa Gold Extraction Company (Limited) pursuant to subsection (6) of section 168 of “The Companies Act, 1908.”
RESOLUTIONS.

That the Waihi-Paeroa Gold Extraction Company (Limited) be wound up voluntarily.

That Percy Nichol Kingswell, Company Director, and William Wallace Bruce, Accountant, both of Auckland, be and they are hereby appointed Liquidators for the purposes of the winding-up of the said company.

That the whole of the business, property, and assets of the Waihi-Paeroa Gold Extraction Company (Limited), (save its uncalled capital), be sold and transferred to a new company to be formed as a public company with the same name, with a capital of £100,000, divided into 100,000 shares of £1 each, for the purpose of acquiring, inter alia, such business, property, and assets.

That the Liquidators be and they are hereby authorised to enter into an arrangement whereby the members of this company shall receive in compensation for such transfer and sale as aforesaid 60,000 fully paid-up shares in the said new company, but, nevertheless, on the footing (a) that each member of this company holding contributing shares binds himself to subscribe for and take up his pro rata proportion of 16,000 shares in the new company; (b) that each shareholder in this company, holding paid-up shares or contributing shares, shall have the right to subscribe for and take up such proportion of the remaining shares in the new company as shall be proportionate to his present holding of shares in this company; (c) that the new company take over and pay all the debts and liabilities of this company as on the 5th day of March, 1910; and (d) that the new company pay the costs of the liquidation and winding-up of this company.
And for these purposes to enter into and execute on behalf of this company a certain memorandum of agreement proposed to be made between this company of the first part, the said Percy Nichol Kingswell and William Wallace Bruce as Liquidators of this company of the second part, and David Whamond Duthie, of Auckland, Bank-manager, as trustee for the said new company of the third part, the draft whereof has already been approved of by the directors of this company, and has (for the purposes of indentification) been indorsed with the signature of the managing director of this company.

NOTICE is hereby given that at an extraordinary general meeting of shareholders, duly convened and legally constituted, held in the registered office of the company on Monday, the 21st February, 1910, the following special resolution, passed at an extraordinary general meeting of shareholders, duly convened and legally constituted, held on the 24th January, 1910—
“That the company be wound up voluntarily under the provisions of ‘The Companies Act, 1908,’ ”
was confirmed.
Also that Edward Trythall, of Dunedin, Accountant, was appointed Liquidator for the purpose of winding up the affairs of the company.
