EVIDENCE having been furnished of the loss of duplicate memorandum of lease, No. 1864, of part of Section 8, Block XI., South Tuakitoto District, whereof PETER McSKIMMING the elder and PETER McSKIMMING the younger are the registered lessees, and application having been made to me to register a dealing affecting the said lease, I hereby give notice of my intention to register such dealing, dispensing with the production of the said duplicate lease, unless caveat be lodged forbidding the same within fourteen days from the publication hereof.

THE NEW ZEALAND OIL-WELLS PROPRIETARY (NO LIABILITY).

NOTICE is hereby given that the above company intends to voluntarily cease to carry on business in New Zealand, having on the 25th day of March, 1905, passed, at Adelaide, a resolution for winding up the company voluntarily.

BYCROFT LIMITED.

AT an extraordinary general meeting of the members of the above-named company, duly convened, and held at the registered office of the company, situated at Shortland Street, in the City of Auckland, on the 14th day of March, 1905, the following special resolutions were duly passed, and at a subsequent extraordinary general meeting of the members of the said company, held at the same place on the 29th day of March, 1905, the following special resolutions were duly confirmed:—

  1. That it is expedient to reconstruct the company upon the lines of the scheme submitted to this meeting, and accordingly that the company be wound up voluntarily, and that Michael Hamilton Scott, of Auckland, be and he is hereby appointed Liquidator of the company for the purposes of such winding-up.
  2. That the said Liquidator be and he is hereby authorised, pursuant to section 259 of “The Companies Act, 1903,” to sell and transfer the whole of the undertaking, property, and assets of this company to a new company, to be called “Bycroft Limited,” or some other name, upon the terms contained in the said scheme of reconstruction, with such modifications or additions (not being substantial variations therefrom) as the Liquidator may approve, and for that purpose to enter into an agreement in the terms of the draft agreement submitted to this meeting (which draft agreement is hereby approved, and for the purpose of identification has been signed by the Chairman of this meeting), with such modifications or additions (not being substantial variations therefrom) as the Liquidator may think expedient.
