THE NEW ZEALAND GAZETTE.
A PPLICATION having been made for registration of Transfer of Lease No. 1108, affecting Blocks 76, 78, and 79, and Section 8 of Block 1, Makaretu Survey District, Register-books Vol. x., folio 165; Vol. xi., folio 149; Vol. xv., folio 151; and Vol. xxvii., folio 291, the lessee whereof is NEILS PETER MADSEN, and evidence having been furnished of the loss of the duplicate lease, notice is hereby given that the production of such duplicate will be dispensed with and the transfer registered at the expiration of fourteen days from the date of the Gazette containing this notice.
Diagrams may be inspected at this office.

A PPLICATION having been made to me on behalf of HARRY LONGUEVILLE SNOW and GEORGE PAMMENT for issue to them of a provisional certificate of title to all that piece of land, containing 20 perches, being Section 35, Kumara, registered in Vol. vii., folio 162, and proof having been made to my satisfaction by statutory declaration of the loss of the original certificate of title, I hereby notify my intention to issue such provisional certificate in lieu of the original, at the expiration of fourteen days after the date of the Gazette containing this notice, unless in the meantime a caveat be lodged forbidding the same.

A PPLICATION having been made to me, under section 28 of "The Life Assurance Policies Act, 1884," for the issue of a copy of the policy on the life of HENRY SEBCOLE, of Tutaekara, Pahiatua, formerly of Oxford, Canterbury, numbered 14041 in the books of the Government Insurance Commissioner, and evidence having been supplied as to the loss of the original, I hereby give notice that I shall issue a copy as requested unless notice be lodged forbidding the same on or before the 2nd day of December, 1895.

A GENERAL Meeting of the shareholders of the Union Fire and Marine Insurance Company of New Zealand (Limited), (in liquidation), will be held at the rooms of the Canterbury Agricultural and Pastoral Association, Hereford Street, Christchurch, on Thursday, the 9th day of January, 1896, at noon, for the purpose of receiving an account showing the manner in which the winding-up of the company has been conducted, and the property of the company disposed of, and of transacting any other business.

N OTICE is hereby given that at an extraordinary general meeting of shareholders of the above-named company, held at Palmerston North on the 4th day of October, 1895, the under-written special resolution, resolving, inter alia, that the said company be wound up voluntarily, and that CHARLES WALTER MULLINS, formerly Manager of the said company, be Liquidator, was duly passed by the required majority; and that at an extraordinary general meeting of the said company, held at Palmerston North aforesaid on the 22nd day of October, 1895, for the purpose of confirming the resolution aforesaid, the said under-mentioned special resolution was then duly confirmed as by law required.

RESOLUTION.
Be it resolved that the United Farmers' Alliance (Limited) be wound up voluntarily, and that Charles Walter Mullins, at present the Secretary and General Manager of the United Farmers' Alliance (Limited), or such other person or persons as the shareholders shall elect, shall be appointed liquidator or liquidators for the purposes of such winding-up, and with full power, subject to the provisions of sections 222 and 223 of "The Companies Act, 1882," to sell, dispose of, and make over the assets, effects, debts, claims, and demands, including all lands, buildings, premises, and leases thereof, of and belonging to the said United Farmers' Alliance (Limited), to the Manawatu Farmers' Co-operative Association (Limited), on the terms and conditions expressed in a certain conditional memorandum of agreement, dated the 26th day of August, 1895, entered into between the Directors of the United Farmers' Alliance (Limited), (hereinafter described as the selling company), of the one part, and the Directors of the Manawatu Farmers' Co-operative Association (Limited), (hereinafter described as the purchasing company), of the other part, wherein it is stipulated, inter alia, and in substance, and upon the special conditions provided in the said agreements,—
(a.) That the purchasing company shall assume and discharge all the engagements and liabilities of the selling company;
(b.) That the purchasing company shall allot to the liquidator of the selling company, for distribution among the shareholders of the selling company, in satisfaction of their interests, a number of shares in the purchasing company, of the nominal value of £5 each, equal to the number of shares in the selling company now held by the shareholders therein;
(c.) That each such allotted share shall be credited as capital paid up thereupon, with a value proportioned to the net capital of the selling company, ascertained by valuation in manner provided by the agreement, and after deduction of all liabilities;
(d.) That each company shall pay one-half of the total expenses incidental to amalgamation and liquidation.
