In the matter of the Balclutha Gas Company (Limited), (in liquidation).
At an extraordinary general meeting of the members of the above-named company, duly convened, and held at the Borough Council Chambers, Balclutha, on the 10th day of July, 1894, the following extraordinary resolutions were passed:—

"That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily."

"That John Cameron Mitchell, of Balclutha, accountant, Andrew Todd, of Dunedin, auctioneer, and James Ban, of Dunedin, iron merchant, be and they are hereby appointed Liquidators for the purpose of such winding-up."

WESTPORT JOCKEY CLUB COMPANY (LIMITED).—
SPECIAL RESOLUTION.
At an extraordinary general meeting of the shareholders of the above company, held at the company's offices, Palmerston Street, Westport, on Thursday, 28th day of June, 1894, at 8 p.m., the following resolution was carried:—
"1. The directors may borrow any sum not exceeding £2,000, upon mortgage or otherwise, for such term, at such rate of interest, and subject to such terms and conditions as they think fit; and they may give security upon all or any part of the company's property, present and future, including its uncalled capital.
"2. The directors may, if they think fit, call up all the unpaid capital of the company by monthly calls of 1s. per share, and may mortgage such to secure any moneys which may be borrowed by the directors under any authority conferred upon them.
"3. Article 10 of Table A of the First Schedule to 'The Companies Act, 1882,' is hereby rescinded, and in lieu thereof the following substituted: '10. The directors may decline to register any transfer of shares where the transferor is a debtor to the company, whether in respect of calls or otherwise, and, in the case of shares not fully paid up, may refuse to register a transfer, without assigning any reason therefor.'"

DECEASED.
PURSUANT to the statute 22nd and 23rd Victoria, chapter 35, section 29, intituled "An Act to further amend the Law of Property, and to relieve Trustees,"—
Notice is hereby given that all creditors and other persons having any debts, claims, or demands against the estate of Frederick Gonnerman Dalgety, late of Lockerley Hall, in the County of Southampton, and of No. 16, Hyde Park Terrace, Cumberland Gate, in the County of Middlesex, England, Esquire, who died on the 20th day of March, 1894, and whose will, with two codicils thereto, was duly proved by Frederick John Dalgety, Esquire, the Honourable Herbert Horatio Nelson, commonly called Viscount Trafalgar, Algernon Fawkes, Esquire, and Edmund Theodore Doxat, Esquire, the executors therein named, in the Principal Registry of the Probate Division of Her Majesty's High Court of Justice in England, on the 11th day of April, 1894, are hereby required to send particulars in writing of their debts, claims, or demands to Mr. Nathaniel Tertius Lawrence, of No. 6, New Square, Lincoln's Inn, London, England, a member of the firm of Messrs. Lawrence, Graham, and Co., of the same place, the solicitors of the said executors, on or before the 30th day of November, 1894.
And notice is hereby given that at the expiration of that time the said executors will proceed to distribute the assets of the said testator among the parties entitled thereto, having regard only to the debts, claims, and demands of which they shall then have notice; and that they will not be liable for the assets or any part thereof so distributed to any person or persons of whose debt, claim, or demand they shall not then have had notice.

TAKE NOTICE that at a meeting of the shareholders of the above-named company, held at the company's office, Insurance Buildings, Queen Street, Auckland, on Friday, the 20th day of July, 1894, it was resolved, "That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and, accordingly, that the company be wound up voluntarily." It was further resolved that Mr. Ebenezer Weymouth, 107, Queen Street, Auckland, be appointed Liquidator for the purposes of such winding-up.
